His broad range of operational experience includes a tenure as a VP of Finance at Canron Inc., during which time he played a leading role in building a plastics division for their billion-dollar company. Gerry was also Director of Operational Consulting/Internal Audit at Canron.
Gerry has also held several senior financial positions for the formerly publicly traded company Steinberg Inc., which was a billion-dollar company that pioneered big box food retailing, private label, and strip shopping centres. Gerry has served on a number of boards, and is the author of several award-winning articles.

The Ireland-based Company was a highly respected global medical device manufacturer, specializing in the research and design of technologically advanced interventional guide wires, and related products for minimally invasive cardiac surgery and other procedures. Industry leaders in the medical device segment were their major buyers.

Context
Due to the European economic crises the Irish Company was experiencing cash-flow difficulties. Their access to capital from banks, government agencies, and alternate sources was significantly reduced. To maintain business, they urgently needed to find a strategic partner. Confidentiality was a priority, to avoid alerting their customer base and risk losing business.

Closing
MNC adopted a strategy that protected their client’s confidentiality by creating a limited auction based on a carefully selected screening process, and invitation-only access. MNC did not want to risk going out to the market at large and alerting industry players.
MNC highlighted the Company’s R&D focus by creating a discounted cash-flow forecast for each of their projects under development which showcased enterprise value to the buyers. With this information, buyers were able to submit competitive proposals, helping the Company increase shareholder value. The transaction allowed the Irish Company to continue to prosper.

This internationally renowned Company is publically traded and is one of the top ten firms manufacturing flavors, seasonings and food ingredients. The company sells their products to the food, beverage, functional food, flavor, fragrance, pharmaceutical, nutraceutical, and cosmetic industries in over 120 counties.

The flavor and fragrance industry was consolidating rapidly and the Company wanted to capitalize on this opportunity to expand their territory and product offerings. The market was becoming increasingly competitive and the Company was having difficulties identifying meaningful opportunities at competitive prices. MNC was engaged to source and move forward on the acquisition targets.

MNC’s team generated over twenty qualified acquisition opportunities. The Company closed on four: two in the United States, one in the United Kingdom and one in Brazil. The Company continues to grow and continues to work with MNC on other acquisition opportunities.

The Company is a leading United States provider of residential and consumer services for persons with developmental disabilities, traumatic brain injuries and mental illnesses. The Client owned and operated 35 licensed facilities.

Context
One of the largest and most prominent competitors in the industry approached the Client as an acquisition target to help expand their geographical reach. This competitor wanted to acquire the Client’s facilities and licenses. MNC was hired by the Client to act as their independent advisor to help structure and negotiate the transaction. One of the main considerations for hiring MNC Capital was that we were not based in the United States, and that MNC could work on a tight deadline with the utmost confidentiality.

Closing
Over a five-month period, the team at MNC strategized, advised and negotiated the transaction, the Sales Purchase Agreement (SPA) and the facility leases. MNC protected the Client through a well-structured SPA and structured a deal that maximized shareholder value. MNC used a tax-efficient strategy that spun the Client’s real estate off into a separate entity. Throughout the seamless process, MNC conducted the Client’s business as though it were their own.
